Welcome to Prestige Network Consulting. By accessing or using our website (pncinternal.net) and services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.
Prestige Network Consulting provides enterprise IT consulting, network infrastructure design and management, cybersecurity services, cloud migration, managed IT services, and related professional services (collectively, "Services"). The specific scope of Services provided to each client is defined in individual service agreements or statements of work.

You are responsible for maintaining the confidentiality of your account credentials. We recommend using strong passwords and enabling multi-factor authentication where available.
You agree not to use our Services to:
All content, features, and functionality of our Services, including but not limited to text, graphics, logos, images, software, and documentation, are owned by Prestige Network Consulting or its licensors and are protected by copyright, trademark, and other intellectual property laws.
We grant you a limited, non-exclusive, non-transferable license to access and use our Services for your internal business purposes, subject to these Terms.
You retain all rights to your data and materials provided to us. By using our Services, you grant us a license to use, process, and store your data solely for the purpose of providing Services to you.
We strive to maintain 99.9% uptime for our managed services. Specific availability commitments are outlined in individual service agreements.
Support terms, including response times and escalation procedures, are defined in your service agreement.
We may perform scheduled maintenance with advance notice. Emergency maintenance may be performed without notice when necessary to maintain security or functionality.
Fees for Services are specified in your service agreement or statement of work. All fees are in USD unless otherwise specified.
Payment is due within 30 days of invoice date unless otherwise agreed. Late payments may incur interest charges at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.
Fees are exclusive of all applicable taxes, which are your responsibility unless you provide valid tax exemption documentation.
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the provision of Services. This obligation survives termination of the service relationship.
We implement industry-standard security measures to protect your data. Our data protection practices are detailed in our Privacy Policy. You are responsible for maintaining appropriate security measures for your own systems and data.
We warrant that our Services will be performed in a professional and workmanlike manner consistent with industry standards.
EXCEPT AS EXPRESSLY PROVIDED, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRESTIGE NETWORK CONSULTING SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES.
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES DURING THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
You agree to indemnify and hold harmless Prestige Network Consulting and its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of our Services or violation of these Terms.
These Terms remain in effect while you use our Services. Service-specific terms are governed by individual service agreements.
We may suspend or terminate your access to our Services immediately if you violate these Terms or engage in activities that may harm our Services or other users.
Upon termination, your right to use our Services ceases immediately. We will provide you with access to retrieve your data for 30 days following termination, after which it may be deleted.
In the event of any dispute, both parties agree to first attempt to resolve the matter through good-faith negotiations.
Any disputes that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law provisions.
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our Services after such changes constitutes acceptance of the modified Terms.
These Terms, together with any service agreements and our Privacy Policy, constitute the entire agreement between you and Prestige Network Consulting.
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.
No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.
You may not assign these Terms without our prior written consent. We may assign these Terms at any time without notice.
